1. Introduction & Acceptance
Welcome to NIMAI Labs ("we", "us", "our"), a platform operated by NIMAI Labs SL. By accessing or using our service at nimailabs.com, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the service.
2. Account Registration
To use NIMAI Labs, you must create an account using a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 13 years old to create an account. You agree to provide accurate and complete information during registration and to update your information as necessary.
3. Use of Service
NIMAI Labs provides tools for music project management, collaboration, professional services marketplace, and AI-assisted workflows. You agree to use the service only for lawful purposes and in accordance with these terms. You may not use the service to upload, distribute, or share any content that infringes on third-party intellectual property rights, contains malware, or violates any applicable law.
4. Intellectual Property
You retain 100% ownership of all intellectual property rights in the music, audio files, lyrics, artwork, and other creative content you upload to NIMAI Labs. We do not claim any ownership over your content. By uploading content, you grant us a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the service to you.
5. Marketplace & Payments
The NIMAI Labs marketplace connects artists with professional service providers. All transactions between artists and professionals are subject to our marketplace terms. We facilitate payments but are not a party to the service agreements between artists and professionals. Service providers are responsible for delivering the services they offer. Disputes between parties should be reported to our support team.
6. Wallet & Payouts
Professional service providers and reviewers may earn funds through the platform, which are held in their NIMAI wallet. Payouts are subject to minimum withdrawal amounts and processing times. We reserve the right to hold funds in cases of suspected fraud or disputes. All earnings are subject to applicable taxes, which are the responsibility of the earner.
7. Collaborator Access
Project owners may invite collaborators to their projects. Collaborators are granted access based on their assigned role (viewer or editor). Project owners are responsible for managing collaborator access and can revoke access at any time. Invitation links expire after 7 days. Collaborators must respect the intellectual property of the project owner.
8. Termination
You may terminate your account at any time through the Settings page. We may suspend or terminate your account if you violate these terms or engage in any activity that is harmful to the service or other users. Upon termination, your data will be deleted in accordance with our Privacy Policy. Any pending payouts will be processed according to our standard schedule.
9. Limitation of Liability
NIMAI Labs is provided "as is" without warranty of any kind. We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service. Our total liability shall not exceed the amount you have paid us in the 12 months preceding the claim. This limitation applies to the fullest extent permitted by applicable law.
10. Changes to Terms
We may update these Terms of Service from time to time. We will notify you of significant changes by email or through the service. Your continued use of the service after changes are posted constitutes your acceptance of the updated terms. We encourage you to review these terms periodically.
